Acceptance of Terms of Use

These Terms of Use (these "Terms") govern your access to and use of https://eccentric.group (the "Site"), https://app.eccentric.group (the "Portal"), any mobile application we make available (the "App"), and the products and services provided by or through Eccentric, LLC ("Eccentric," "we," "us," or "our"). The Site, Portal, App, and related services are referred to collectively as the "Platform."

By accessing or using the Platform, creating an account, or checking a box indicating that you agree (for example, "I agree" or "I accept"), you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you do not have permission to access or use the Platform and must discontinue use immediately.

Your Relationship with Us

Eccentric is a management services organization ("MSO"). We build and operate the Platform and provide administrative, non-clinical support services to an independent, affiliated professional entity, Lance Pickard, MD and Associates, PLLC (the "Practice"), and to any additional affiliated professional entities that may be formed in other states (together with the Practice, the "Affiliated Practices").

The Affiliated Practices are owned solely by licensed physicians and employ or contract all clinicians who provide care through the Platform. All clinical activity, including reviewing your medical intake, ordering and interpreting laboratory results, determining medical necessity, issuing or declining prescriptions, adjusting dosage, and responding to questions about side effects, is performed exclusively by the Affiliated Practices and their clinicians.

Eccentric does not practice medicine, does not employ physicians or other clinicians to render clinical services, does not control or direct clinical decision-making, does not dispense medication, does not perform laboratory testing, and does not own your medical records. Eccentric does not own the Affiliated Practices and is not responsible for the quality of care they provide. The administrative services we provide and the medical services provided by the Affiliated Practices are together referred to as the "Services."

The Platform does not create a physician-patient relationship between you and Eccentric. Any physician-patient relationship is solely between you and the Affiliated Practice and its clinicians.

Not for emergencies. The Platform is not intended for medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately.

Eligibility and Geographic Availability

The Services are available only to individuals who are eighteen (18) years of age or older and who are physically located in a U.S. state in which an Affiliated Practice is licensed to provide care. You may be asked to confirm your location, and Services may be unavailable in your state. You agree not to attempt to obtain Services from a location where they are not available.

Text Messaging Program

By providing your mobile phone number and opting in, you consent to receive text messages from Eccentric and, where applicable, from the Affiliated Practices, in the following categories:

Withdrawing consent. You may withdraw consent at any time by replying STOP to any message or by emailing support@eccentric.group. If you reply STOP to a marketing message, we will stop sending marketing messages. If you reply STOP to a service message, we may send one message asking you to clarify whether you wish to stop all messages; if you do not respond, we will treat your request as applying to all messages that require your consent. We will process your request immediately and may send a single confirmation message.

Rejoining. If you opt out and later wish to receive messages again, you may re-enroll through the Platform.

Help. Reply HELP to any message or contact support@eccentric.group.

Frequency and rates. Message frequency varies based on your account activity. Message and data rates may apply. Wireless carriers are not liable for delayed or undelivered messages.

Mobile information. Your mobile phone number and SMS consent data will not be shared with third parties or affiliates for marketing or promotional purposes, and will not be sold. See our Privacy Policy for details.

Marketing

If you consent to receive marketing calls or texts, you do so by separate written consent at sign-up. Consent to marketing calls or texts is not a condition of purchasing any product or service. You may opt in to marketing emails, and you may unsubscribe at any time by using the link included in each marketing email or by contacting support@eccentric.group. We will honor unsubscribe requests within ten (10) business days. You will continue to receive non-marketing, service-related communications.

Disputes and Arbitration Provision

Please read this section carefully. It affects your legal rights.

Any controversy, dispute, or claim arising out of or relating in any way to these Terms, the Privacy Policy, the Platform, or the Services (a "Dispute") will be resolved by confidential, binding arbitration rather than in court, except as expressly provided below. You and Eccentric each waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative proceeding. The arbitrator may award relief only on an individual basis.

Informal resolution first. Before initiating arbitration, you agree to send a written notice describing the Dispute and the relief you seek to: Eccentric, LLC, Attn: Legal, 275 Pine Hollow Ln, Houston, TX 77027, with a copy to legal@eccentric.group. If the Dispute is not resolved within thirty (30) days after the notice is received, either party may commence arbitration.

Arbitration procedure. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs the interpretation and enforcement of this provision. The arbitration will take place in Harris County, Texas, or by videoconference, unless the parties agree otherwise or the AAA rules require a different location. Judgment on the award may be entered in any court of competent jurisdiction.

Exceptions. Either party may bring an individual action in small claims court, and either party may seek injunctive or other equitable relief in court to protect its intellectual property rights.

Opt-out. You may opt out of this arbitration provision by sending written notice to the address above within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration.

Severability. If the class action waiver is found unenforceable as to a particular claim, the arbitration provision will not apply to that claim, which shall instead be resolved in court.

Laboratory Services

Laboratory specimen collection and analysis are performed by independent, third-party laboratories that are not owned or controlled by Eccentric. Laboratory orders are placed and results are interpreted solely by the clinicians of the Affiliated Practices. Eccentric coordinates scheduling and logistics with the laboratory but does not perform testing and is not responsible for the laboratory's acts or omissions. You may be required to visit a laboratory location in person, and laboratory availability may vary by location.

Pharmacy Services and Patient Choice

Default dispensing. If a clinician of an Affiliated Practice issues a prescription, it will by default be transmitted to a licensed partner pharmacy (the "Partner Pharmacy") that fills and ships the medication to you.

Your choice of pharmacy. You have the right to have your prescription sent to a pharmacy of your choosing, provided that pharmacy is properly licensed, registered, and equipped to dispense the prescribed medication and can accept electronic prescriptions. Some medications require specialized handling or compounding that retail pharmacies may be unable to provide.

Pricing. Program fees quoted on the Platform assume dispensing by the Partner Pharmacy. If you choose a different pharmacy, you will pay that pharmacy directly for the medication, shipping and pickup arrangements will vary, and shipment tracking through the Platform will not be available.

Refill Cycle

Prescriptions are issued on a thirty (30) day refill cycle. Before each refill is shipped, you must confirm the refill and complete payment through the Platform. Refills are subject to ongoing clinical review by the Affiliated Practice, which may require updated intake information or laboratory results before authorizing a refill, and which may decline to renew a prescription in its clinical judgment. Eccentric has no role in the decision to issue, renew, adjust, or discontinue a prescription.

Purchases

To purchase Services, you must provide a valid credit or debit card or other accepted payment method, along with accurate billing and shipping information. You represent and warrant that the payment information you provide is true and accurate, that you are authorized to use the payment method, and that charges incurred will be honored. Payment information is processed by an independent, third-party payment processor as described in our Privacy Policy; Eccentric does not itself process, store, or transmit full payment card numbers.

Prices displayed on the Platform may be bundled and may include fees for administrative services provided by Eccentric, professional fees charged by the Affiliated Practices, laboratory fees, and pharmacy charges. Where Eccentric collects amounts owed to the Affiliated Practices, laboratories, or pharmacies, it does so on their behalf as their billing and collections agent.

Agreement for Self-Payment of Services

Eccentric and the Affiliated Practices do not participate in any health insurance plans, including Medicare and Medicaid. All Services are 100% self-pay. Your insurance policy is a contract between you and your insurance company. We make no representation that any insurer will reimburse you for any portion of the Services, and you are solely responsible for understanding your benefits. If you are a Medicare or Medicaid beneficiary, you acknowledge that you are electing to receive Services on a self-pay basis and that neither Eccentric nor the Affiliated Practices will submit claims to Medicare or Medicaid on your behalf.

Consent for Recurring Payments

By enrolling in a program with a recurring refill cycle, you authorize Eccentric (or its payment processor) to charge your payment method for each refill at the disclosed interval once you confirm the refill. You will be notified before each charge and must confirm before shipment. You may update your payment method or stop future refills at any time by contacting support@eccentric.group or through your account settings. Stopping refills does not entitle you to a refund of charges already incurred for Services rendered or medication already shipped.

Refunds

Because Services involve clinical review, laboratory testing, and dispensed medication, fees are generally non-refundable once the corresponding Service has been performed. If a clinician determines that you are not a candidate for treatment, any portion of your payment attributable to Services not yet rendered will be refunded in accordance with the refund terms disclosed at checkout. Medication that has been dispensed and shipped cannot be returned or refunded except as required by law.

Identity Verification

To protect you and comply with applicable law, we use a third-party identity verification service. You agree to provide accurate identification information and to permit verification of your identity before Services are rendered. We may refuse or terminate Services if we are unable to verify your identity.

Artificial Intelligence-Enabled Tools

The Platform may include tools that use artificial intelligence, such as customer-support chat assistants, video visit transcription, and intake questionnaire aids. These tools are provided for administrative convenience only, do not provide medical advice, and are not a substitute for consultation with a licensed clinician. Your use of any AI-enabled tool is governed by these Terms, and information about how data from these tools is handled appears in our Privacy Policy.

Availability, Errors, and Inaccuracies

We continually update information on the Platform, but information may contain unintentional typographical errors, inaccuracies, or omissions, and products or Services may be mispriced, described inaccurately, or unavailable. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice, including after you have submitted an order.

Contests, Sweepstakes, and Promotions

Any contests, sweepstakes, referral programs, or other promotions (collectively, "Promotions") made available through the Platform may be governed by rules that are separate from these Terms. If you participate in a Promotion, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms, the Promotion rules will govern.

Accounts

By creating an account, you represent and warrant that you are at least eighteen (18) years of age, that you have the legal capacity to enter into these Terms, that you will comply with these Terms and all applicable laws, that you will not use the Platform for any unlawful purpose, and that all information you provide is accurate, current, and complete. Providing inaccurate, incomplete, or fraudulent information, including in your medical intake, may result in denial of Services and termination of your account.

You are responsible for maintaining the confidentiality of your password and for restricting access to your account, and you accept responsibility for all activity that occurs under your account. You agree to notify us immediately at support@eccentric.group of any unauthorized use of your account or any other breach of security.

You may not use as a username the name of another person or entity, a name that is not lawfully available for use, a name or trademark that is subject to the rights of another person without authorization, or a name that is offensive, vulgar, or obscene. We reserve the right to refuse service, terminate accounts, or remove or edit content in our sole discretion.

Copyright Policy

We respect the intellectual property rights of others. If you believe that any content on the Platform infringes a copyright you own or control, please send a notice to legal@eccentric.group with the subject line "Copyright Infringement" and include a detailed description of the alleged infringement. You may be held liable for damages, including costs and attorneys' fees, for misrepresenting that any content infringes your copyright.

DMCA Notice and Procedure for Copyright Infringement Claims

You may submit a notification under the Digital Millennium Copyright Act ("DMCA") by providing our Copyright Agent with the following information in writing:

  1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
  2. A description of the copyrighted work that you claim has been infringed, including the URL of the location where the copyrighted work exists or a copy of the work;
  3. Identification of the URL or other specific location on the Platform where the allegedly infringing material is located;
  4. Your address, telephone number, and email address;
  5. A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
  6. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner's behalf.

Intellectual Property

The Platform and its entire contents, features, and functionality, including all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof, together with all trademarks, service marks, logos, trade names, and trade dress (including "Eccentric" and "Eccentric Platform"), are owned by Eccentric, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, reproduce, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, reverse-engineer, decompile, or otherwise exploit any portion of the Platform without our prior written consent. All rights not expressly granted in these Terms are reserved.

User Conduct

You agree not to: (a) use the Platform in any way that violates applicable law; (b) impersonate any person or misrepresent your identity or affiliation; (c) provide false or misleading medical information; (d) attempt to obtain prescriptions for anyone other than yourself; (e) resell, transfer, or distribute any medication obtained through the Services; (f) interfere with or disrupt the Platform or servers or networks connected to it; (g) use any robot, scraper, or other automated means to access the Platform; or (h) attempt to gain unauthorized access to any portion of the Platform or any other systems or networks.

Links to Other Websites

The Platform may contain links to third-party websites or services that are not owned or controlled by Eccentric, including those of laboratories, pharmacies, payment processors, and identity verification providers. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any content, goods, or services available on or through any third-party website or service. We strongly advise you to read the terms and privacy policies of any third-party website or service you visit.

Electronic Communications

By visiting the Platform or sending us emails or messages, you consent to receive communications from us electronically. You acknowledge that we and the Affiliated Practices may send communications, including notifications about your care, prescriptions, or account, outside of normal business hours. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

Termination

We may terminate or suspend your account and bar access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including a breach of these Terms, a violation of our Privacy Policy or an Affiliated Practice's privacy practices, or use of the Platform in a manner that is harmful to us, the Affiliated Practices, other users, or third parties. Where a breach is curable, we may, in our discretion, provide notice and an opportunity to remedy it.

You may stop using the Platform at any time. To close your account or stop scheduled refills and payments, contact support@eccentric.group. Simply discontinuing use of the Platform does not automatically cancel scheduled refills or payments. Termination of your account does not terminate any physician-patient relationship with an Affiliated Practice; the Affiliated Practice will address continuity-of-care obligations in accordance with applicable law.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnities, limitations of liability, and the arbitration provision.

Indemnification

You agree to defend, indemnify, and hold harmless Eccentric, its subsidiaries, affiliates, licensors, and successors, and their respective officers, directors, employees, agents, and contractors (the "Indemnified Parties") from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (i) your use of the Platform or Services; (ii) your breach of these Terms or our Privacy Policy; (iii) your violation of any applicable law or the rights of a third party; or (iv) any inaccurate or incomplete information you provide, including in your medical intake.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ECCENTRIC OR THE INDEMNIFIED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM OR SERVICES; (B) ANY ERRORS OR OMISSIONS IN THE PLATFORM'S PERFORMANCE; (C) THE CONDUCT OR CONTENT OF ANY THIRD PARTY, INCLUDING THE AFFILIATED PRACTICES, LABORATORIES, PHARMACIES, AND PAYMENT PROCESSORS; (D) ANY CONTENT OBTAINED FROM THE PLATFORM; OR (E) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF ECCENTRIC AND THE INDEMNIFIED PARTIES FOR ALL CLAIMS RELATING TO THE PLATFORM OR SERVICES SHALL NOT EXCEED THE AMOUNTS YOU PAID TO ECCENTRIC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in this section limits the liability of the Affiliated Practices or their clinicians for professional medical services to the extent such limitation is prohibited by law.

Disclaimer

YOUR USE OF THE PLATFORM AND SERVICES IS AT YOUR SOLE RISK. THE PLATFORM AND THE ADMINISTRATIVE SERVICES PROVIDED BY ECCENTRIC ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Eccentric does not warrant that (a) the Platform will function uninterrupted, securely, or be available at any particular time or location; (b) any errors or defects will be corrected; (c) the Platform is free of viruses or other harmful components; or (d) the Platform or Services will meet your requirements. Eccentric makes no warranty regarding the clinical services provided by the Affiliated Practices, the laboratory services provided by independent laboratories, or the dispensing services provided by pharmacies, and does not guarantee any particular health outcome.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, the limitations above apply only to the extent permitted by applicable law.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law provisions, except that the arbitration provision is governed by the Federal Arbitration Act. Subject to the arbitration provision, any Dispute that is permitted to proceed in court shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect. These Terms, together with the Privacy Policy and any additional terms you agree to when using particular features of the Platform, constitute the entire agreement between you and Eccentric regarding the Platform and supersede any prior agreements.

Changes

We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice before the new terms take effect, by posting notice on the Platform, by email, or by other reasonable means. What constitutes a material change will be determined in our sole discretion. By continuing to access or use the Platform after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Platform.
